- Regular communication and updates will be provided throughout the project
Standard payment terms include:
- 50% deposit required before project commencement
- Remaining balance due upon project completion
- For larger projects, milestone-based payments may be arranged
- Payment is due within 30 days of invoice
- Late payments may incur additional fees
Upon full payment, clients receive ownership of custom code and deliverables created specifically for their project. However:
- Third-party libraries and frameworks remain under their respective licenses
- General methodologies and approaches remain the property of Nicolas Vincent
- Source code may include standard boilerplate and common patterns
- Clients may not resell or redistribute custom solutions as standalone products
I maintain strict confidentiality regarding all client information, including:
- Business strategies and proprietary information
- Technical specifications and architecture details
- User data and analytics
- Financial information and business metrics
Client information will only be disclosed if required by law or with explicit written consent.
While I strive to deliver high-quality work, please note:
- Software is provided "as is" without warranty of any kind
- I make no guarantees regarding performance, security, or compatibility
- Clients are responsible for testing and validating all deliverables
- I am not liable for any indirect, incidental, or consequential damages
My total liability for any claim arising from our professional relationship shall not exceed the total amount paid for the specific project in question. This limitation applies to all damages, including but not limited to:
- Direct, indirect, and consequential damages
- Loss of profits or business opportunities
- Data loss or corruption
- Service interruptions
Either party may terminate a project engagement with written notice. In case of termination:
- Payment is due for all work completed up to the termination date
- Deliverables completed will be provided to the client
- Confidentiality obligations remain in effect
- Intellectual property rights transfer only for paid work
These terms shall be governed by and construed in accordance with the laws of the State of California. Any disputes arising from these terms or our professional relationship shall be resolved through binding arbitration in San Francisco, CA.
